摘 要
军工企业资本运营，就是通过重组企业资产，优化资源配置，提高存量资产的使用效率等手段，把隶属于企业名下的一切固定资产变为可增值的流动资本，从而实现军工资本增值最大化的一种资本运作活动。目前军工企业常用的资本运营操作模式主要有兼并重组、分立剥离、股份制改造上市等。
文章首先用对比分析法研究我国军工企业资本运营理论、基本模式以及国内外军工企业合并重组、股份制改造上市的经验。接着以北方 TX 公司为案例，分析研究了北方 TX 公司目前的股权结构，总结了前几次资本运营取得的成果，并阐述了北方 TX 公司股份制改造上市的背景环境，阐述通过资本运营可能给北方 TX 公司带来的机遇。最后，探讨北方 TX 公司借壳上市的策略。
论文主要分为以下六章：第一章阐述论文选题背景、目的意义以及调查研究的方式方法；第二章概述资本运营理论与概念；第三章介绍北方 TX 军工企业前三次资本运营工作的主要做法以及取得的成效；第四章探讨北方 TX 军工企业资本运营优化策略；第五章阐述北方 TX 军工企业资本运营优化保障措施；第六章结论展望。

ABSTRACT
Military enterprise capital operation, it is through the restructuring of enterpriseassets, optimize the allocation of resources, improve the efficiency of the use ofstock assets, all belonging to enterprise's fixed assets into the flow of value-addedcapital, thereby maximizing defense industry capital appreciation of a kind of capitaloperation activities.The capital operation of military enterprise commonly usedoperating modes mainly include separation of merger and reorganization, stripping,joint-stock companies listed, etc.
Article first contrast analysis method is used to study the military enterprisecapital operation theory, basic mode and military enterprise merger restructuring,joint-stock companies listed at home and abroad experience.Then to northern TXcompany as a case, analyzed the northern TX company current shareholdingstructure, summarizes the previous capital operation achievements, and expounds thenorthern TX company listed shareholding system reform background, elaboratedthrough capital operation can bring the opportunity of northern TX company.Finally,this paper discusses strategy of northern TX company backdoor listings.
