股权激励作为一种创新金融工具，被引用为企业所有者对经营者的一种长期激励的报酬制度，在美国及其他国家的许多公司中得到广泛的推崇。现代公司股权制度的特征是公司股权多元化，同股不同权、出资人与显名股东的分离，实践中，大多数股东不参与公司的运营管理，这样势必就会导致公司的所有权与经营权的分离。
随着我国相关法规政策的出台，大量的企业开始实施股权激励计划，但是由于我国目前股权激励法律制度的不完善以及各项监管制度的欠缺，以及公司在实施股权激励计划时缺乏正确的引导，使得我国企业在实施股权激励计划时问题频出，出现如股权激励计划难以实施，或者其设计的行权条件时过于未考虑实际情况，也有出现在实施期间突然终止等等问题。如何真正实现股权激励计划对于人才的激励以及使得企业长远的发展，成为广大法学理论研究者与经济学界共同关注的焦点。
本文以股权激励制度为研究对象，首先介绍了股权激励制度的发展，以及我国目前理论研究者的研究成果；其次对于我国目前股权激励计划实施企业出现的问题进行分析；最后从股权激励计划的法律环境入手，针对出现的法律制度不完善、行权条件设计缺乏指导制度、董事会及公司治理结构等等问题给予建议。在说明我国企业是适合实施股权激励计划的同时，应制定相适应的各项制度与监管，为我国政府部门及企业提供参考建议，促进我国企业更好地发展。

Abstract
Equity incentive as 狂 financial tool innovation, cited as the owner of the enterprise on along-term incentive pay system,widely respected in many companies USA and in other countries.
Characteristics of Modern Corporation ownership system is the company equity diversification,the same shares with different rights, the separation of people and capital,significant shareholdersin practice, most of the shareholders do not participate in the operation and management of thecompany, this will inevitably leads to the separation of ownership and management of thecompany.
With the relevant regulations of China policy,many enterprises begin to implement equityincentive plan, but because our country's current equity incentive legal system is not perfect andthe supervision system defects, as well as companies lack the proper guidance in theimplementation of equity incentive plan, making China's enterprises in the implementation ofequity incentive plans of frequent problems,either the equity incentive plan or design is difficultto implement, the exercise conditions are too did not take into account the actual situation, eitherin the implementation period of abrupt termination etc How to realize the equity incentive planfor talent incentive and makes the enterprise long-term development, has become the commonfocus of attention of the masses of legal theory and business circles.
This paper takes the equity incentive system as the research object, first introduced thedevelopment of equity incentive system,and the research achievements of our present theoreticalresearchers in our country at present; secondly,the equity incentive plan business problems areanalyzed; the legal environment and finally from the equity incentive plan to start, according tothe legal system is not perfect,the emergence of exercise the condition of lack of governancestructure design guidance system, the board of directors and the company and so on to give advice.
Come to our country enterprise is suitable for the implementation of equity incentive plan,but tohave the system and regulation, provide reference and suggestions for China's governmentdepartments and enterprises, promote Chinese enterprises to better development.
